Digital law scrum and…bacon! Sprint 8 - Taking the pain (and cost) out of digital customer contracts

Wed 17 July  07:30 – 10:00 GMT

Bournemouth and Poole College, Meyrick Rd

Book on Eventbrite here: https://www.eventbrite.co.uk/e/digital-law-scrum-andbacon-sprint-8-taking-the-pain-and-cost-out-of-digital-customer-contracts-tickets-61566198156?aff=ebdssbdestsearch

We know that for most, contracts drive you crazy – especially when your business is growing and you start to get those all important big customers that can take your business to the next level.

Generally, the bigger and more established the customer, the more interested they will be in getting a contract in place that protects them. It might mean your terms and conditions (t’s&c’s) start to get negotiated, or you may be asked to sign (or unknowingly sign up to) your customer’s t’s&c’s.

Either way, for most growing businesses, as contracts increasingly become a fact of business life, it starts to introduce a whole new layer of time, cost and the nuisance of dealing with lawyers.

We understand the pain….! Even for lawyers, contract negotiations are not straightforward as outcomes are dependent on so many factors.

For many years, we have been working with companies at all stages of their business journey from start up through to sale and have seen how this growth journey impacts on their contracting needs.

In this session, we will share our experiences with you and what you can do to take the pain and cost out of customer contracting, whatever stage of the business journey you are at.

Any-one who has been to one of our sessions before will know we keep these things “light” and there’s a bacon sarnie and coffee to get you through.

Who should attend:
• Business owners
• Procurers
• Contract Managers
• Financial Directors
• Commercial Directors

in businesses of all sizes.

Digital law scrum and…bacon! Sprint 7 - Unlocking the IPR Puzzle - Supplier & Customer Perspective Solutions

Wed 5 December 2018 07:30 – 10:00 GMT

Bournemouth and Poole College, Meyrick Rd

IPR Puzzle Solved!

Book here: https://www.eventbrite.co.uk/e/digital-law-scrum-andbacon-sprint-7-unlocking-the-ipr-puzzle-supplier-customer-perspective-solutions-tickets-50589834557?aff=ebdssbdestsearch

Piecing together all of the intellectual property rights (“IPRs”) in digital content, such as a website or SaaS product, is a bit like building a puzzle – having the full picture beforehand helps simplify the task.

This sprint will try to build up that picture* for you by helping you understand the various types of IPRs (the “what”), link these to digital content (the “how”) and issues regarding ownership (the “who”). Understanding this will be helpful when negotiating your customer contracts – who are likely to want to own all intellectual property in the digital content.

We will then look at the differences between assigning and licencing IPRs and possible solutions to satisfy both you and your customers whilst ensuring you don’t “give away” anything you can’t or shouldn’t.

In the meantime, if you just can’t wait until then, check out our previous blawg on the subject – https://www.law-point.co.uk/blog/intellectual-property-protection/

* Hint – If you’ve been to our scrum before you’ll know we don’t like don’t like death by PowerPoint and so we have got our creative juices flowing and you’ll be working with us to build and de-construct the IPR puzzle on the day! See you there.

Digital law scrum and…bacon! Sprint 6 - GDPRs - Controller/Processor

Wed 21 March 2018 07:30 – 09:30 GMT

Bournemouth and Poole College, Meyrick Rd

GDPRs Data Protection

Book on Eventbrite here: https://www.eventbrite.co.uk/e/digital-law-scrum-andbacon-sprint-6-gdprs-controllerprocessor-tickets-42071211125

There are two sides to the coin of data protection (both currently under the Data Protection Act and going forward under the GDPRs) –

the concepts of data controller and data processor.

Most business will certainly be data controllers (in terms of employee personal data) and some businesses will also be data processors (e.g. if they host or provide outsourced services such as payroll where they might hold personal data of its customer’s employees). If you’re not sure of the difference don’t worry we will go over this but you may want to read our blog beforehand to help. If you are a data controller and data processor, you will have to comply with both the data processor and the data controller obligations under the GDPRs.

The first half of the sprint will be spent focussing on data protection and the GDPRs from a data controller’s point of view. This will include going over the concepts of accountability, individual’s rights, DPO requirements and Privacy by Design.

We will then move on to data processor obligations. For the first time, data processors will be liable by law – which means that it can be held directly liable under a statute in addition to any contractual liability it agrees to with the data controller or sub-processor. We will go over contract requirements, controller instructions and data breaches.

Identifying when you are a data controller or data processor and understanding the impact on your customer and supplier contracts will be useful.

The GDPR has been formally adopted by European Commission.

The European Parliament’s press release states “The regulation will enter into force 20 days after its publication in the EU Official Journal. Its provisions will be directly applicable in all member states two years after this date.” – http://www.europarl.europa.eu/news/en/news-room/20160407IPR21776/Data-protection-reform-Parliament-approves-new-rules-fit-for-the-digital-era

Business networks and presentations

There are some great business networks in the south-west and we’re hoping to get along to as many of the meetings as we can, either as members or guests, or possibly to give some presentations.

Our business meeting schedule is taking shape so we hope to see you in the near future for a chat and a coffee.

East Dorset Business Network meets on the second Friday of every month and we’re hoping to be there whenever we can.

Meetdraw is a group of businesses from Bournemouth’s digital community. The group is holding its Meetdraw Christmas Event on 10 December. Not only are we pleased to be sponsoring it, we’re really looking forward to being there.

Do you collaborate with other businesses?

With an increasing number of start-up businesses adopting the freelance or micro-business route, a new book, to be launched shortly, takes a look at the practicalities of collaborative working as a model for growth and success.

Tracey O’Connell of Lawpoint was invited to contribute to the book, The Collaboration Game, and has written the chapter on contractual arrangements for collaborative freelancing.

Written by David Drysdale with contributions from Tracey O’Connell and Andy Parker, the book is published by the Dorset-based organisation, It’s a freelance thing and was designed by Richard Gregory.

We’ll keep you posted on the launch date and how you can get your copy.

Are you prepared for the new consumer law?

The new consumer law came into force on 1 October 2015 and already it’s a major talking point.

We knew it was arriving so, for the past few months, we’ve been busy behind the scenes developing contracts in readiness for the changes. We know how important it is to keep our clients ahead of the game by taking a pro-active approach to any new legislation that may impact on their businesses. Lawpoint Launch Affordable GDPR Breach Helpline

Small businesses that may fear a big fine for breaching the General Data Protection Regulation (GDPR) or do not know if a breach requires reporting to the Information Commissioner’s Office (ICO) can now use an affordable new helpline for advice. Tracey O’Connell Founding Director of Bournemouth based Lawpoint and her legal team can now provide quick advice to businesses (regulated or otherwise) to avoid or manage reportable security breaches.

“Not everyone wants to pay for expensive advice when they are not even sure whether or not a reportable security breach has occurred or how serious it is. However, not acting the right way or quickly enough to a reportable security breach could cost your business more”, said Tracey O’Connell. “This is all about taking care of people’s personal data and minimising the impact if things go wrong.”

Lawpoint describes GDPR as an octopus that can reach into any aspect of the day to day running of an organisation and therefore needs controlling. Businesses of any size can face the potential of a security breach even if the company has its own appointed DPO (Data Protection Officer). Whilst a hacked IT system or the loss of an unencrypted laptop may be more obvious security breaches, a simple miss-sent email containing personal data of a customer may also be considered a security breach.

The helpline team can give pragmatic initial advice for a minimal charge of £50 +VAT.

“We do this regularly for our own clients and know that not every security breach requires notification – it all depends on the risk that the breach poses to individuals. The helpline (offered within normal office hours) will not be a place where callers will receive lectures but concise answers and next stage advice, especially as a business must confess to a reportable security breach within 72 hours of a staff member recognising the issue,” said Tracey. “In our experience, the ICO will not look favourably on businesses who have not reported a security breach but where that breach has been reported to the ICO by an affected individual.”

Information can be found by visiting www.law-point.co.uk/gdpr-breach or calling the helpline 01202 406660.

Lawpoint has a new look and a new home

Anyone who paid a visit to our website in the past will have noticed all the changes we’ve made. In fact, we’ve stripped out the old site completely and replaced it with this one.

We think you’ll find the changes to your liking. There’s more information to help you and there’s even more on the way so, if you haven’t fully explored the site and its content, now is the time to do it.

New logo

Have you noticed that we’ve also changed our logo? It’s still the same name and it still stands for great service but we’ve updated the design and given it more impact. We hope you like it.

New home

All the changes we’ve made coincided with the recent move to Lawpoint’s new office in Bournemouth’s Hinton Road where we’re settling down nicely.
