Digital law scrum and…bacon! Sprint 9 - Managing your contract when things don’t go your way

Relationships with your customers won’t always go smoothly – unfortunately that is a fact of business life. This could be anything from the customer not paying, not acting in the way you expected or on the flip side saying you aren’t performing in the way they expected.

Either way, how you manage these bumps in the road will affect your ongoing relationship with the
customer (if indeed you want to continue working with the customer).

This session will look at ways to get the best from a bad situation, which will include both commercial solutions and how the contract may help.

Piecing together all of the intellectual property rights (“IPRs”) in digital content, such as a website or SaaS product, is a bit like building a puzzle – having the full picture beforehand helps simplify the task.

This sprint will try to build up that picture* for you by helping you understand the various types of IPRs (the “what”), link these to digital content (the “how”) and issues regarding ownership (the “who”). Understanding this will be helpful when negotiating your customer contracts – who are likely to want to own all intellectual property in the digital content.

We will then look at the differences between assigning and licencing IPRs and possible solutions to satisfy both you and your customers whilst ensuring you don’t “give away” anything you can’t or shouldn’t.

There are two sides to the coin of data protection (both currently under the Data Protection Act and going forward under the GDPRs) –

the concepts of data controller and data processor.

Most business will certainly be data controllers (in terms of employee personal data) and some businesses will also be data processors (e.g. if they host or provide outsourced services such as payroll where they might hold personal data of its customer’s employees). If you’re not sure of the difference don’t worry we will go over this but you may want to read our blog beforehand to help. If you are a data controller and data processor, you will have to comply with both the data processor and the data controller obligations under the GDPRs.

The first half of the sprint will be spent focussing on data protection and the GDPRs from a data controller’s point of view. This will include going over the concepts of accountability, individual’s rights, DPO requirements and Privacy by Design.

We will then move on to data processor obligations. For the first time, data processors will be liable by law – which means that it can be held directly liable under a statute in addition to any contractual liability it agrees to with the data controller or sub-processor. We will go over contract requirements, controller instructions and data breaches.

Identifying when you are a data controller or data processor and understanding the impact on your customer and supplier contracts will be useful.

Tracey O’Connell was working as a solicitor for one of the UK’s top law firms when she decided there were better and more cost-efficient ways to provide integrated business and legal services. Lawpoint was born and Tracey was proven right.

Meetdraw 9th June #MD30 (Closed)

Well that was the digital party of the summer, heck it may well have actually been THE party of the summer.

Last June they put on their first Big Bash party and we’ve heard from you guys that it was a great success. It’s still being talked about 12 months on so they did it again. This year they had over 900 digital party animals. This was an event you really didn’t want to miss … and it was FREE.

If you went you’ll know the score (if you weren’t, where were you??!), there was a huge beachside location in Bournemouth, marquees, food, drink and leading entertainment.

They had:

A stellar line up of leading local DJs playing everything from latino to house
3 bars
An outdoor cocktail bar
World food market
An ambient chill out zone
A host of amazing characters from the Bournemouth creative community (including you!?)

The Bigger Bash was open to everyone in the digital, creative and marketing community. All digital and creative animals were welcome, including – client side, agency, freelance and students types. It was a networking party offering you a great opportunity to get to know local industry folk; we’re sure you’ll have made new best friends by the end of the night.

It was a ticket only event and tickets were FREE. That’s right, FREE.

We know that for most, contracts drive you crazy – especially when your business is growing and you start to get those all important big customers that can take your business to the next level.

Generally, the bigger and more established the customer, the more interested they will be in getting a contract in place that protects them. It might mean your terms and conditions (t’s&c’s) start to get negotiated, or you may be asked to sign (or unknowingly sign up to) your customer’s t’s&c’s.

BH Banter and Beale's Breakfast

 

We really enjoy these events and try to get along as often as we can.

BH Banter is at 6.00pm on the first Monday of every month, mostly at The Miramar Hotel. Although on 7th November it is at Bournemouth Hospital from 6.30pm (Oasis Restaurant).

Beale’s Breakfast is held in the Restaurant in Beale’s at 7.30am on the third Thursday of each month. If you want to have a chat about anything, Alison will be there this month.
